1. Acceptance of Terms

By accessing or using Alchemist ("the Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you and Olbrain ("Company," "we," "us," or "our"). Your use of the Platform is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

2. Description of Service

Alchemist Platform: Alchemist is an advanced AI deployment platform that enables users to create, deploy, and manage AI agents powered by Olbrain's cognitive architecture framework (CNE + RbR → eA³).

Service Features: The Platform provides tools for AI agent generation, deployment orchestration, performance monitoring, and cognitive framework management.

Service Evolution: We continuously improve the Platform and may add, modify, or remove features at our discretion with appropriate notice to users.

3. User Accounts and Registration

Account Creation: To use Alchemist, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

Account Responsibility: You are solely responsible for all activities that occur under your account, including the creation and deployment of AI agents.

Account Security: You must notify us immediately of any unauthorized use of your account or any other security breach.

Age Requirement: You must be at least 18 years old to use the Platform. Users under 18 require parental consent and supervision.

4. Acceptable Use Policy

Permitted Uses: You may use Alchemist for legitimate business, research, educational, and personal purposes in compliance with applicable laws and these Terms.

Prohibited Activities: You agree not to:

• Create AI agents designed to cause harm, harassment, or deception
• Use the Platform for illegal activities or to violate any laws or regulations
• Deploy agents that infringe on intellectual property rights of others
• Attempt to reverse engineer, hack, or compromise the Platform's security
• Create agents that generate spam, malware, or other malicious content
• Use the Platform to collect personal information without proper consent
• Deploy agents that impersonate real individuals without authorization
• Engage in activities that could harm minors or vulnerable populations

AI Ethics Compliance: All AI agents must comply with our ethical AI guidelines and demonstrate alignment with human values and societal benefit.

5. AI Agent Deployment and Management

Agent Ownership: You retain ownership of AI agents you create using the Platform, subject to compliance with these Terms and applicable laws.

Cognitive Framework Integrity: Agents deployed on Alchemist utilize our CNE (Coherent Narrative Exclusivity) and RbR (Recursive Belief Revision) frameworks. You agree not to attempt to compromise these cognitive structures.

Performance Monitoring: We may monitor AI agent performance for quality assurance, security, and platform optimization purposes.

Resource Limits: Your use of computational resources is subject to the limits of your service plan. Excessive usage may result in service restrictions or additional charges.

6. Intellectual Property Rights

Platform IP: The Alchemist platform, including its cognitive architecture, algorithms, and underlying technology, is proprietary to Olbrain and protected by intellectual property laws.

User Content: You retain rights to your original content, training data, and agent configurations. By using the Platform, you grant us a license to process this content to provide our services.

Olbrain Technology: The CNE and RbR frameworks, eA³ architecture, and related technologies remain the exclusive intellectual property of Olbrain.

Feedback and Improvements: Any feedback, suggestions, or improvements you provide may be used by us to enhance the Platform without compensation to you.

7. Privacy and Data Protection

Data Processing: Our collection and use of your information is governed by our Privacy Policy, which forms part of these Terms.

Agent Data Security: We implement robust security measures to protect your AI agent data and configurations from unauthorized access.

Data Retention: We retain your data in accordance with our Privacy Policy and applicable legal requirements.

Cross-Border Transfers: Your data may be processed in different countries where we operate, subject to appropriate privacy safeguards.

8. Payment Terms and Billing

Service Plans: Alchemist offers various service plans with different features and usage limits. Current pricing is available on our website.

Payment Processing: Payments are processed through secure third-party payment processors. You authorize us to charge your payment method for applicable fees.

Billing Cycles: Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.

Refund Policy: Refunds are handled on a case-by-case basis. Contact our support team for refund requests.

Usage Overages: Additional charges may apply if you exceed your plan's resource limits or usage quotas.

9. Service Availability and Support

Uptime: We strive to maintain high service availability but do not guarantee uninterrupted access to the Platform.

Maintenance: We may perform scheduled maintenance that temporarily affects service availability. We will provide advance notice when possible.

Service Modifications: We may modify, suspend, or discontinue features or services with reasonable notice to users.

10. Limitation of Liability

Service Provided "As Is": The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

Disclaimer of Warranties: We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Damages: To the maximum extent permitted by law, our liability for any claims arising from your use of the Platform shall not exceed the amount you paid for the service in the 12 months preceding the claim.

AI Agent Behavior: While we implement safeguards, you acknowledge that AI agents may behave unpredictably. You are responsible for monitoring and controlling your deployed agents.

11. Indemnification

You agree to indemnify, defend, and hold harmless Olbrain, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Platform in violation of these Terms
• Your AI agents' actions or outputs
• Your violation of any applicable laws or third-party rights
• Any content or data you provide to the Platform

12. Termination

Termination by You: You may terminate your account at any time by following the account closure process in your account settings.

Termination by Us: We may suspend or terminate your account if you violate these Terms, engage in prohibited activities, or for other legitimate business reasons.

Effect of Termination: Upon termination, your access to the Platform will cease, and we may delete your account data in accordance with our Privacy Policy.

Data Export: You may export your data before account termination, subject to technical limitations and applicable laws.

13. Dispute Resolution

Informal Resolution: We encourage you to contact us first to resolve any disputes informally.

Governing Law: These Terms are governed by the laws of the jurisdiction where Olbrain is incorporated, without regard to conflict of law principles.

Arbitration: Disputes may be subject to binding arbitration as outlined in our dispute resolution procedures.

Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class action lawsuits.

14. Changes to Terms

Modification Rights: We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform or notification to users.

Notice of Changes: Significant changes will be communicated through email or Platform notifications.

Continued Use: Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

Disagreement with Changes: If you disagree with changes, you may terminate your account in accordance with Section 12.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Olbrain regarding the Platform.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

Assignment: We may assign these Terms or our rights hereunder without your consent. You may not assign your rights without our written consent.

Force Majeure: We are not liable for delays or failures in performance due to circumstances beyond our reasonable control.

Survival: Provisions that by their nature should survive termination will survive, including intellectual property rights, limitation of liability, and dispute resolution.
